These Terms and Conditions govern your use of the www.neutron-systems.com website and the purchase of products and services from Neutron Microgrid Systems Limited. Please read them carefully before using our site or placing an order.
By accessing our website or purchasing from us, you agree to be bound by these Terms. If you do not agree, please do not use our site or services.

Neutron Microgrid Systems Limited, company number 07167274, registered office 9 Mallow Street, London, England, EC1Y 8RQ, is a company registered in England and Wales. References to "Neutron Systems", "we", "us", or "our" in these Terms refer to Neutron Microgrid Systems Limited.
Some Neutron Systems products, such as the Electron charging app and platform, may be operated by a different group company under separate terms presented to you within that app or service. Where that is the case, those separate terms take priority over this document for that product or service.
2. Use of our website
You may use our website for lawful purposes only. You must not:
- Use the website in any way that breaches applicable laws or regulations
- Transmit unsolicited commercial communications
- Attempt to gain unauthorised access to any part of the website or our systems
- Reproduce, copy, or redistribute content from our website without our written permission
- Use automated tools to scrape, crawl, or harvest data from our website
We reserve the right to suspend or terminate access to our website at any time without notice if we believe these terms have been breached.
3. Intellectual property
All content on this website (including text, graphics, logos, images, product specifications, and software) is the property of Neutron Microgrid Systems Limited or its content suppliers and is protected by UK and international intellectual property laws.
You may view and print pages from our website for personal, non-commercial use only. You may not otherwise reproduce, distribute, display, or create derivative works from any content without our express written permission.
4. Product information and availability
We take reasonable care to ensure that product descriptions, specifications, and pricing on our website are accurate. However, we do not warrant that product information is complete, reliable, or error-free. Specifications may change without notice as we continually improve our products.
All products shown are subject to availability. We reserve the right to withdraw any product from sale at any time.
5. Orders and contracts
5.1 Online Store purchases
When you place an order through our Online Store, you are making an offer to purchase. A contract is only formed when we send you an order confirmation email. We reserve the right to refuse or cancel any order at our discretion.
5.2 Commercial and project orders
For commercial products (Fleet DC, Commercial DC, ESS, Platform, HV Direct), orders are governed by a separate written quotation and purchase order process. These Terms apply alongside any specific terms set out in that documentation.
6. Pricing and payment
All prices on our Online Store are in GBP and include VAT unless otherwise stated. For commercial orders, pricing is provided by quotation and is exclusive of VAT unless stated.
We reserve the right to change prices at any time. Price changes will not affect orders that have already been confirmed.
Payment for Online Store orders is due at time of purchase. For commercial orders, payment terms are as set out in the relevant quotation, typically 30 days net from invoice date.
7. Delivery
Delivery timescales and charges will be confirmed at the time of order. We will make every reasonable effort to meet stated delivery dates but these are estimates and not guaranteed.
Risk in the goods passes to you on delivery. Title passes on receipt of full payment.
8. Returns and cancellations
8.1 Consumer purchases (Online Store)
If you are purchasing as a consumer (not for business purposes), you have a right to cancel your order within 14 days of delivery under the Consumer Contracts Regulations 2013, provided the goods have not been installed. Contact us at info@neutron-systems.com to initiate a return.
8.2 Business purchases
Commercial orders may only be cancelled or returned by mutual agreement and may be subject to a restocking charge. Bespoke and configured products cannot be returned.
9. Warranty
Neutron Systems products are supplied with the warranty terms set out in the relevant product documentation. Standard warranty periods are:
- Home chargers (NSNH series): 3 years
- Commercial and Fleet DC chargers: 3 years
- Energy Storage Systems (ESS): 10 years or 6,000 cycles
- Platform software (Electron CMS / Neutron Grid EMS): 12 months software support from deployment
Warranties are void if products are installed, modified, or operated contrary to our published specifications, or if damage arises from misuse, accidental damage, or unauthorised repair.
Nothing in these Terms affects your statutory rights as a consumer under UK law.
10. Limitation of liability
To the maximum extent permitted by law, Neutron Systems' total liability to you for any loss or damage arising from or related to these Terms or your use of our products and services shall not exceed the amount paid by you for the relevant product or service in the 12 months preceding the claim.
We are not liable for: indirect or consequential losses; loss of profits or business; loss of anticipated savings; or loss of data.
Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded by law.
11. Indemnity
You agree to indemnify and hold harmless Neutron Microgrid Systems Limited, its officers, employees, and agents from any claims, losses, damages, and costs (including legal fees) arising from your breach of these Terms or misuse of our website or products.
12. Third-party links
Our website may contain links to third-party websites. These links are provided for your convenience only. We have no control over the content of those sites and accept no responsibility for them or for any loss or damage arising from your use of them.
13. Force majeure
We will not be liable for any failure or delay in performing our obligations under these Terms where the failure or delay results from events outside our reasonable control, including but not limited to component or component-material shortages, port congestion or shipping delays, industrial action, or grid connection delays caused by a Distribution Network Operator.
14. Governing law and disputes
These Terms are governed by the laws of England and Wales. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
If you are a consumer and are unhappy with how we have handled a complaint, you may refer your dispute to Citizens Advice or a Trading Standards-approved Alternative Dispute Resolution (ADR) provider. We are not obliged to use an ADR provider, but we will consider any request to do so on its merits.
15. Entire agreement and severability
These Terms, together with any quotation or purchase order documentation referenced in them, constitute the entire agreement between you and us in relation to their subject matter, and supersede any prior agreement, understanding, or arrangement between us. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
16. Changes to these Terms
We may update these Terms from time to time. Changes will be effective from the date they are published on this page. Your continued use of our website or services following any change constitutes acceptance of the updated Terms.
